ABCD Referral Champions Program Terms and Conditions

Below are the Terms and Conditions of the program launched by Aditya Birla Capital Digital Limited (ABCDL) for the purpose of providing a platform to employees of Aditya Birla Group (ABG) to refer prospective customers for investing / purchasing / using any of the products / services offered by Aditya Birla Capital Limited (ABCL), ABCDL or any of the subsidiaries / associates of ABCL.

By submitting and / or continuing to submit a lead through “ABCD Referral Champions” WhatsApp Bot, you agree to the below terms and conditions.

Definitions:

“Aditya Birla Group (‘ABG’)” is not a legal entity but an expression created and used after the larger Birla Family re-organisation / arrangement, to represent companies and other entities, including joint venture companies, in which Kumar Mangalam Birla and/or his family (Mother, Spouse and Children) (“KMB Family”) hold(s) directly or indirectly at least 20% of the voting rights and are allowed to use Aditya Birla Logo; and/or companies and other entities which are traditionally controlled and/or managed by KMB Family, and/or combination thereof.

"Customer Contract” shall mean and include the contract executed between a Prospect or Existing Customer and ABCDL.

“Existing Customer” shall mean and include any customer availing the Services, irrespective of being introduced by the Referrer or not.

“Marketing and Promotional Material” shall mean and include all the material including data, confidential information and marketing information as provided by ABCDL from time to time, to the Referrer, for the Referrer to carry out the Referral Service.

“Prospects” shall mean the customers/leads referred to the ABCDL by the Referrer through the Referral Services.

“Referrer” shall mean Aditya Birla Group employee referring the lead under “ABCD Referral Champions”

“Referral Service(s)” shall mean the service(s) provided by the Referrer of referring the Prospects to ABCDL.

Referral Champions Terms and Conditions:

• The Referrer agrees that at any point in time, while referring a lead, or in promoting the Services of the Company, the Referrer shall not create an impression that the Referrer is an authorised representative of the ABCDL.

• The Referrer agrees and acknowledges that ABCDL shall reward the Referrer by means of “Reward Points” only in accordance with the terms and conditions contained herein.

• The Referrer agrees to use their best endeavours to refer and promote the Referral Services to ABCDL.

• The Referrer acknowledges, that ABCDL, or any of the partner entities of ABCDL, at any point of time is not obligated to execute a Customer Contract or enter into any commercial relationship with the Prospects referred to ABCDL by the Referrer. ABCDL, as well as its partner entities as may be the case, at their sole discretion shall have the absolute right to accept or reject the provision of Services to the Prospect, and the decision of ABCDL, or its partner entities as may be the case, in this regard shall be final and binding on the Referrer as well as on the Prospect.

• The Referrer agrees that it shall not at any point of time misrepresent any of the Referral Services or any features / information associated with the Referral Services, products, facilities or information about ABCDL to any Prospect, and the Referrer shall be held solely responsible for any liability arising out of any such misrepresentation.

• The Referrer agrees that the Referrer shall strictly adhere to the instructions and guidelines notified and provided by ABCDL to the Referrer from time to time (“Referral Champions Program Guidelines”).

• The Referrer agrees not to engage in any actions that could harm and / or damage the goodwill or reputation of ABCDL or any of its partner entities.

• The Referrer agrees that it shall not, induce or encourage any Existing Customer to terminate or seek modification of its Customer Contract with ABCDL.

• The Referrer agrees that it shall not, at any point of time during the Referral Services, recruit or solicit any Existing Customers of ABCDL, either directly or indirectly.

• The Referrer agrees that the Marketing and Promotional Material provided to the Referrer by ABCDL, shall be used for the sole purpose of providing leads and promoting the Referral Services of ABCDL, and that the Marketing and Promotional Material, shall at any point of time, be changed or modified by ABCDL.

• The Referrer agrees that it shall not offer or grant any discounts or rewards to the Prospects as a part of the Referral Services, unless it has been granted authorization through written approval by ABCDL to offer or grant such discounts or rewards.

• The Referrer understands that ABCDL is entitled to, in its absolute discretion, modify, remove the terms of the program at any point of time.

• The Referrer agrees that ABCDL or its partners shall not have any liability in relation to fraud, misrepresentation by Referrer or non-providing of any of the services.

• The Referrer agrees that ABCDL shall not be liable for any leakage or breach of data or personal information of any of the Prospects by the Referrer.

• The Referrers represents and warrants that all information being passed and provided to ABCDL shall be true and correct.
